Chapter Bylaws of the Health Ministires Association, Inc.
Section 19.1 The fiscal year of HMA will be determined by the BOARD OF DIRECTORS.
Section 20.1 The parliamentary writings of General Henry M. Roberts, revised, will govern HMA in all cases not covered by the Bylaws and Articles of Incorporation.
Section 21.1 Proposals for amendments to these Bylaws may be initiated only by action of the BOARD OF DIRECTORS, the Bylaws Committee, or by petition of 20 or more members of HMA.
Section 21.2 Individuals may submit suggestions for Bylaws changes to the Vice President and/or Bylaws Committee for study and consideration.
Section 21.3 The Bylaws may be amended at any business meeting of the membership by two-thirds (66 2/3%) affirmative vote of members present and voting.
Section 21 Copies of the proposed amendments must be mailed first class to all members at least 10 days prior to the meeting.
Section 22.1 Dissolution of HMA may occur by a two-thirds (66 2/3 %) majority vote of members PRESENT at a duly called membership meeting or responding to a mail ballot or when a formal petition for bankruptcy is filed.
Section 22.2 Upon the dissolution of HMA and after the payment of or provision for payment of all liabilities of HMA the BOARD OF DIRECTORS will dispose of assets of HMA to organizations that are qualified as tax-exempt organizations under the Section 501 (c)(3) of the Internal Revenue Code, 1986, as amended.
Section 22.3 Any assets not so disposed of will be disposed of by a court from the jurisdiction in the county in which the principal office of the corporation is located.
Adopted at the meeting of the Delegates Assembly, September 28, 1989 and approved as effective on the date of incorporation of the HEALTH MINISTRIES ASSOCIATION as a 501(c)(3) tax exempt organization, November 18, 1989 in Iowa.
